Vintec Club Membership and Guest Access Terms and Conditions

Vintec Club Pty Ltd ACN 154 021 904 (Vintec, we, us or our) operates an optional, free of charge private club for eligible owners of qualifying Vintec or Transtherm wine cellars and guests,  (Vintec Club). Vintec is a member of the Electrolux Group.

These terms and conditions (Terms) are between you and us and govern your access to, and participation in, the Vintec Club. By creating an account to apply to join the Vintec Club (whether as a member or as a guest), or by accessing or participating in the Vintec Club, you acknowledge that you have read and agree to be bound by these Terms. If you do not agree with these Terms, you must not apply to join or participate in the Vintec Club.

1. Definitions

Australian Consumer Law means Schedule 2 of the Competition and Consumer Act 2010 (Cth).

Claim means any claim including any demand, action, proceeding or suit made, threatened or brought by or against a person, however arising and whether present, future or contingent.

Collection Statement means the statement which is Annexure A to these Terms and Conditions as amended by us from time to time

Consumer Legislation means the Australian Consumer Law and any State or Territory consumer protection legislation.

Electrolux Group means Electrolux Home Products Pty Ltd ACN 004 762 341 and its related bodies corporate.

Guest means a person who has applied for and has been accepted by us to be a guest of the Vintec Club under these Terms.

Member means a person who has applied for and has been accepted by us to be a member of the Vintec Club under these Terms.

Loss means any losses, costs, damages or expenses.

Personal Information means your full name, address and contact details (including physical address, email and phone number(s))

Privacy Policy means our privacy policy which is available at https://www.vintecclub.com/en-au/privacy-policy/, as amended by us from time to time.

Qualifying Wine Cellars means any Vintec, Transtherm, or any other brand of wine cellars as nominated by us from time to time that qualifies you to apply to be a member of the Vintec Club under these Terms. 

Rewards means information, products, events, rewards, benefits, offers and/or discounts which may be redeemed, collected, accessed, used and/or enjoyed by Members and Guests.

Third Party Partners means any third party partners, as appointed by us from time to time, that provide Third Party Rewards through the Vintec Club.

Third Party Rewards means any Rewards provided by any Third Party Partners.

Third Party Terms means the terms and conditions applicable to the redemption, collection, access, usage and/or enjoyment of any Third Party Rewards.

Vintec Club Website means vintecclub.com.

Vintec Club Shop Website Terms of Use means the terms of use at https://shop.vintecclub.com/terms-conditions/

2. Membership and Guest Access

  • You may apply to be a member of the Vintec Club if you:
    • are an owner of a Qualifying Wine Cellar purchased in Australia; or New Zealand;
    • have registered and provided us with your Personal Information and the product details for that wine cellar; and
    • are aged 18 years and over.  We may require proof of  
  • 2You may apply to be a guest of the Vintec Club if you:
    • are not an owner of a Qualifying Wine Cellar or have not registered and provided us with the required details for a Qualifying Wine Cellar;
    • provide us with your Personal Information; and
    • are aged 18 years and over. 
  • Only Members may be entitled to full access to or full participation in the Vintec Club (including the full features of the Vintec Club Website) or certain Rewards (Full Participation).  
  • As a Guest you will not be entitled to Full Participation and shall be entitled only to such access and participation as Vintec, in its sole discretion, makes available to Guests from time to time.
  • We may, at our discretion, acting reasonably accept or refuse your application to be a Member or Guest of the Vintec Club. Once we accept your application, you will become a Member or a Guest (as applicable) of the Vintec Club, until either we or you terminate or suspend your access to and participation in the Vintec Club in accordance with these Terms.
  • We may request proof of age from any Member or Guest including but not limited to your participation in or attendance at any event.

3. Your obligations

  • You will be required to provide us with your Personal Information as a condition of applying to be a Member or Guest of the Vintec Club.
  • You are responsible for giving us accurate, complete and up to date information, including Personal Information, to enable us to provide you with access to and participation in the Vintec Club, including parts of the Vintec Club Website and any Rewards. We may not be able to provide you with such access or participation (whether as a Guest or a Member) if you do not provide us with such information.
  • You must:
    • take all reasonable steps to prevent unauthorised use or access to your online account to the Vintec Club Website, including any usernames and passwords;
    • comply with the Vintec Club Shop Website Terms of Use and all reasonable directions, as notified by us to you from time to time in relation to your participation in the Vintec Club; and
    • with respect to your use of and access to (whether as a Member or as a Guest) the Vintec Club Website, including your use of and access to all features of your online account on the Vintec Club Website, comply with these Terms. 
  • You may have access to forums and online community participation facilities in the Vintec Club, whether as a Member or as a Guest. In all such access to and participation in such forums and facilities, you agree that:
    • you must act respectfully in all interactions and participation activities on such forums and facilities;
    • you will not upload or transmit any content that is illegal, offensive, obscene, threatening, defamatory, or any content that breaches any rights of any third party (including intellectual property rights) or otherwise breaches these Terms, and
    • we may remove or use (but not alter) at our discretion, acting reasonably, any content that you upload or transmit to any such forums and facilities in any manner, , without notice to you.
  • You must not abuse or misuse your membership or Guest access or the Rewards or do anything that will or may bring us or the Vintec Club into disrepute.

4. Rewards

  • Members and Guests may be eligible to receive Rewards provided by us or Third Party Partners from time to time.
  • We do not guarantee that:
    • a third party will continue to be a Third Party Partner or offer particular Rewards;
    • you will receive offers for any particular Rewards; or
    • the Rewards will meet your requirements or will be fit for a particular purpose or will achieve any particular outcome including any purpose or outcome that you seek to achieve.
  • Rewards are subject to availability. Subject to clause 5.2, acting reasonably and to protect our legitimate business interests we may change, withdraw or suspend any Reward from time to time without any liability to you. We will provide details of the Rewards available from time to time on the Vintec Club Website. It is your responsibility to check what Rewards are available on the Vintec Club Website from time to time.

5. Redeeming your Rewards

  • We will set out the relevant instructions and details to redeem available Rewards on the Vintec Club Website.
  • We may require you to pay a fee to redeem certain Rewards. If you have redeemed and paid for any Rewards that are to be provided by us, and we subsequently change, withdraw or suspend those Rewards under clause 4.4, our sole liability to you will be limited to, at your option:
    • offering you a replacement of those Rewards with other equivalent goods or services (as applicable) of a similar nature and value, as reasonably nominated by us; or
    • refunding you any fees paid to redeem those Rewards.
  • If you redeem any Third Party Rewards, your access to such Third Party Rewards is subject to and governed by the applicable Third Party Terms. You must ensure that you obtain and familiarise yourself with all such Third Party Terms for the relevant Third Party Rewards. You acknowledge and agree that we are not a party to any Third Party Terms. All claims with respect to any Third Party Rewards or Third Party Terms must be made with the relevant Third Party Partners and not us.
  • You cannot transfer any redeemed Rewards to any third party or exchange them for cash or any other cash equivalents (such as store credits).

6. Vintec Club shop

  • Any purchase that you make from the Vintec Club shop is subject to and governed by the Vintec Club Shop Website Terms of Use which are found at https://shop.vintecclub.com/terms-conditions/and any additional terms and conditions which apply to that purchase.

7. Vintec Club events

  • We may, at our discretion, invite you to Vintec Club events. These events will be subject to additional terms and conditions which may include eligibility conditions and a fee.
  • We will provide you with such terms and conditions, which we may include with the invitation for the relevant event and/or on the Vintec Club Website.
  • Guests and Members who attend Vintec Club events may be photographed or filmed.  You consent to (and must obtain the same consent from any of your guests) for us to use these images on social media, on the Vintec Club website and on other materials to promote the Vintec Club or its partners.
  • If we cancel a Vintec Club event we will notify you and provide you with a refund or a ticket to the same or similar event at a different time.
  • Unless specified otherwise by us at the time you place the Order, you may cancel a ticket to a Vintec Club event by providing written notification to concierge@vintecclub.com no later than 14 days prior to the event.
  • You may transfer a ticket to a Vintec Club event to another person by providing the required details for the new guest to concierge@vintecclub.com no later than 2 days prior to the event.
  • Sales of alcoholic Products and events involving the consumption of alcohol are subject to specific terms.
  • Sales will only be made to those 18 years of age and over and only those 18 years and over will be permitted to attend events involving the consumption of alcohol.
  • Events involving the consumption of alcohol will be restricted to Members and Guests over 18 years of age.
  • We will require verification that you are over 18 years of age before selling or serving alcohol at any event or purchasing a ticket to that event.
  • We may refuse to serve alcohol to a Member or Guest at a Vintec Club event.

8. Fee

  • We may receive a fee from third parties, including the relevant Third Party Partners, in respect of a purchase you make through the Vintec Club shop, Vintec Club events or your redemption of a Reward.

9. Liability

  • To the maximum extent permitted by law and subject to clause 9.2, we exclude all liability (whether in contract, tort (including negligence), under statute or otherwise) to you for any and all Claims for any Loss arising under or in connection with these Terms.
  • Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy conferred by the Australian Consumer Law or any other applicable law that cannot be excluded, restricted or modified by agreement, including any Consumer Legislation.

To the maximum extent permitted by law and where it is reasonable to do so, our liability for a breach of a non-excludable guarantee under this clause 9.2 is limited, at our option, to:

  • in the case of goods, any one or more of the following:
    • the replacement of the goods or the supply of equivalent goods;
    • the repair of the goods;
    • the payment of the cost of replacing the goods or of acquiring equivalent goods; or
    • the payment of the cost of having the goods repaired; or
  • in the case of services:
    • the supplying of the services again; or
    • the payment of the cost of having the services supplied again.

10. Warranties

  • Subject to clause 9.2, the remainder of this clause 10, and any warranties and guarantees that we cannot exclude under law, we do not make any representations and other warranties to you of any kind, express or implied, in relation to the Vintec Club or the Rewards.
  • Under the Australian Consumer Law, you may be entitled to the benefit of certain guarantees which are implied into the supply or certain goods and services (Consumer Guarantees). Consumer Guarantees apply in addition to any express warranties to which you may be entitled to under these Terms.
  • Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the service, you are entitled:
    • to cancel your service contract with us; and
    • to a refund for the unused portion, or to compensation for its reduced value.

You are also entitled to choose a refund or replacement for major failures with goods. If a failure with the goods or a service does not amount to a major failure, you are entitled to have the failure rectified in a reasonable time. If this is not done you are entitled to a refund for the goods and to cancel the contract for the service and obtain a refund of any unused portion. You are also entitled to be compensated for any other reasonably foreseeable loss or damage from a failure in the goods or service.

  • Nothing in these Terms removes or limits any rights you may have under the Australian Consumer Law, the Consumer Legislation or any other law in relation to any services or goods that we supply under these Terms.

11. Termination and suspension

  • We may, at any time, acting reasonably and on immediate notice to you, suspend, cancel or terminate your access to and participation in the Vintec Club (including the Vintec Club Website) if you breach  these Terms or do anything or omit to do anything which, in our reasonable opinion will or may adversely impact the provision of our services to Vintec Club Members or Guests or such Members’ or Guests’ use or enjoyment of the Vintec Club and its services..
  • We do not guarantee that your access to and participation in the Vintec Club will be continuous or that the Vintec Club will continue for any period. It is subject to termination by use at our election at any time. We will take all reasonable steps to advise you in advance if we discontinue or materially change the nature of the Vintec Club by posting an update on the Vintec Club Website or by any other reasonable means. 
  • If we terminate the Vintec Club in its entirety or terminate or suspend your Membership or Guest access you will be entitled to receive any Rewards which you validly redeemed prior to such termination or suspension.  On termination or for the term of your suspension, you will not be entitled to access any new Rewards and your access to and participation in the Vintec Club (whether as a Member or as a Guest) will be terminated or suspended (as the case may be).
  • You may terminate your membership at any time by contacting us or by any other means as notified by us to you.

12. Privacy

  • By being a member or guest of the Vintec Club, you acknowledge and agree that: 
    • the Personal Information you provide to us will be collected, used, disclosed and stored in accordance with our Privacy Policy and the Collections Statement; 
    • Vintec is a member of the Electrolux Group and, as such, references in our Privacy Policy to "Electrolux", "we", "us", or "our" include Vintec;
    • you have read the Privacy Policy and Collection Statement, understood their contents and consented to their requirements; and
    • your Personal Information may be provided to third parties in accordance with our Privacy Policy, including our Third Party Partners to provide you with access to Third Party Rewards and those Third Party Partners may contact you about those Third Party Rewards and other goods and services they may offer. 

13. General

  • We may, from time to time, review and update these Terms by publishing the updated Terms on the Vintec Club Website. We will take all reasonable steps to give Members 30 days’ notice if we materially change these terms and conditions unless that change is due to our Third Party Partners. Any changes to these Terms will be effective on the date that we publish the updated version. You will be taken to have agreed to the updated Terms if you continue to access and participate in the Vintec Club on and from the date that we publish the relevant updated Terms.
  • The laws of New South Wales, Australia shall govern these Terms. The parties submit to the exclusive jurisdiction of the courts of New South Wales, Australia, and the Commonwealth of Australia in respect of all matters arising out of or relating to these Terms, its performance or subject matter.
  • These Terms, and any other document referred to or incorporated in it, constitute the entire agreement between us and you with respect to your use of, access to and participation in the Vintec Club as a Member or Guest. If for any reason a court of competent jurisdiction finds any provision of these Terms to be invalid, that provision must be, to the maximum extent permitted by law (including the Australian Consumer Law and any Consumer Legislation):
    • 13.3.1 read down to the minimum extent necessary to achieve its validity, if applicable; and
    • 13.3.2 be severed from the agreement in any other case, without invalidating or affecting the remaining provisions of the agreement (including these Terms) or the validity of that provision in any other jurisdiction.
  • We may assign, transfer or novate this agreement (or any of our rights and obligations) to any person without notice to you. 
  • You must not assign or transfer or otherwise deal with any of your rights or obligations under these Terms (including any Rewards or eligibility for Rewards) without your prior written consent.

By clicking on “Join” or “Register” and creating an account, you confirm that you accept these Terms  and Privacy Policy, and agree to receive Vintec Club and Third Party communications (from which you may unsubscribe at any time)

 

Annexure A – Collection Statement

Your Personal Information is being or has been collected by Electrolux Home Products Pty. Limited ABN 51 004 762 341. and its related entities (including Vintec) (collectively, EHP) to provide services or products by or on behalf of Vintec Club or as requested by you, register your warranty information, respond to your queries and/or to keep you informed about EHP's related activities, and for EHPto otherwise conduct our business functions and activities.

By providing your Personal Information, you agree that it will be used and disclosed by EHP in accordance with this statement and our Privacy Policy. If you do not agree, then you must not provide your Personal Information, and we may not be able to communicate with you or provide certain services or products to you, including bit not limited to Vintec Club membership.

EHP may disclose your Personal Information to third parties who provide products and services to us or through us in the ordinary operation, administration or promotion of our business, and otherwise in accordance with our Privacy Policy. In so doing, we may also disclose your Personal Information to third parties who may be located overseas from time to time, including in New Zealand, Singapore and the European Union.

EHP may use and disclose your Personal Information for direct marketing purposes, such as to send you information about programs, products, services or other activities which we think may interest you, unless you opt-out (which you can do at any time in accordance with our Privacy Policy). Our Privacy Policy also explains how you can contact EHP to access and correct your Personal Information or make a privacy complaint.
